For merchant sales, unless a separate written agreement expressly says otherwise, eshopOS is not the merchant of record, seller, bank, payment processor, acquiring bank, money transmitter, e-money issuer, wallet provider, escrow agent, insurer, tax adviser, accountant, law firm, logistics carrier, fulfillment provider, marketplace seller, or card network for goods or services sold by merchants.
Payment acceptance, subscription billing, payouts, transfers, chargebacks, settlement timing, payment method availability, and financial compliance may involve independent third-party processors, banks, mobile money operators, card networks, and other financial partners.
- We do not hold customer funds as deposits or guarantee payout timing, exchange rates, reversal outcomes, processor availability, or financial partner approvals.

1. Agreement to Terms
By accessing or using eshopOS, you agree to these Terms of Service and any policies incorporated by reference.
If you do not agree to these terms, you must stop using the platform immediately.
2. Definitions
In these terms, the following words have the meanings set below.
- "Operator" means Osarian Solutions, the operator of the eshopOS platform.
- "Platform" means eshopOS software, services, websites, APIs, and related tools.
- "Merchant" means the business or individual that creates and operates a store on eshopOS.
- "Customer Data" means data submitted to the platform by or on behalf of the merchant.
2A. Legal Identity and Notices
eshopOS is a product and platform operated by Osarian Solutions. The product name eshopOS does not create a separate legal entity.
Official support and legal notices may be sent to [email protected] unless a separate written agreement provides a different notice address.
Our public operator domain is ossarian.com. Product and service domains may use eshop-os.com, app.eshop-os.com, docs.eshop-os.com, status.eshop-os.com, and other controlled service domains.
- Legal, billing, abuse, security, and privacy notices must include the relevant account email, store identifier, transaction reference, or other information needed to identify the request.
- We may send legal, operational, billing, security, and policy notices by email, in-product notification, dashboard banner, or other reasonable electronic method.
- If your order form, enterprise agreement, or jurisdiction-specific addendum states a governing law, venue, or notice process, that document controls for the covered service.
3. Eligibility
You must have legal capacity to enter a binding agreement and operate lawfully in your jurisdiction.
You are responsible for ensuring your business activities, products, and services are legal where you sell.
4. Account Registration and Security
You must provide accurate information during registration and keep account details up to date.
You are responsible for maintaining account security, including passwords, authenticator codes, and API credentials.

5. Merchant Obligations
You are the merchant of record for your store and remain responsible for catalog content, pricing, customer communications, taxes, and applicable legal compliance.

- Maintain required licenses, permits, and regulatory filings.
5A. What eshopOS Is Not

6. Prohibited Activities
You must not use the platform for illegal, abusive, or fraudulent conduct.
- Selling prohibited goods or services.
- Attempting unauthorized access, scraping, or system abuse.
- Infringing intellectual property rights.
- Uploading malicious code or engaging in payment fraud.
- Violating the Acceptable Use Policy or provider rules that apply to connected payment, logistics, marketplace, messaging, or infrastructure services.
7. Payment Terms
Subscriptions and platform fees are billed in advance and are generally non-refundable except where required by law or explicitly stated.
You authorize eshopOS, Osarian Solutions, and connected payment providers to charge fees due under your selected plan.
Platform subscription billing is separate from merchant-customer transactions, settlement accounts, and payout configuration. We may charge platform subscription fees through a different provider or currency than the provider or currency you use to receive customer payments.
Additional platform billing, payout, settlement, currency, and provider-boundary terms are described in the Payments, Payouts, and Subscriptions guide, which is incorporated by reference into these terms where applicable.

- Late or failed payments may result in feature restrictions or suspension.

8. Intellectual Property Rights
eshopOS and its licensors own the platform, including software, trademarks, and documentation.
You retain ownership of your content and grant us a limited license to host and process it to deliver services.
9. Limitation of Liability
To the maximum extent permitted by law, eshopOS is not liable for indirect, incidental, special, consequential, or punitive damages.
Our aggregate liability for claims related to the service is limited to fees paid by you for the relevant service period, unless law requires otherwise.
10. Indemnification
You agree to defend, indemnify, and hold harmless eshopOS from claims arising out of your products, operations, violations of law, or breach of these terms.
11. Termination
You may terminate your account at any time. We may suspend or terminate access for breach, abuse, security risk, or legal requirements.
Termination does not remove obligations that by nature survive termination, including payment obligations already incurred.
12. Dispute Resolution
Before filing formal claims, the parties agree to attempt good-faith resolution by notice and discussion.
Disputes are governed by the law and venue stated in your service order or, if none is specified, by the governing law disclosed on our legal contact page.
13. Service Availability
We aim for high availability but do not guarantee uninterrupted service.
Maintenance windows, third-party outages, and events beyond our control may affect availability.
14. Changes to Terms
We may update these terms to reflect legal, technical, or product changes.
Material updates will be communicated through the platform or by email. Continued use after the effective date constitutes acceptance.
15. Relationship to Privacy Policy
These terms govern service usage. Our Privacy Policy explains how personal data is collected, used, and protected.
Where these terms and the Privacy Policy both apply, they are interpreted together.
16. Service Level Agreement
The hosted platform operates against a 99.9% monthly uptime target for covered public services.
If service credits or additional remedies are included in your plan or enterprise order, they form part of your contract.
Unless explicitly stated, no SLA credits are owed for outages caused by customer systems or third-party dependencies.
17. API Usage Terms
Use of APIs and SDKs must comply with published limits, security requirements, and documentation.
- Keep secret keys private and rotate credentials regularly.
- Do not circumvent rate limits or abuse webhook infrastructure.
- You are responsible for applications you build on top of the platform.
18. Content Moderation
We may review, restrict, or remove content that violates law, these terms, or trust-and-safety standards.
We may also suspend related accounts where risk to customers, merchants, or platform integrity is identified.
19. Intellectual Property Details
Feedback you submit may be used by eshopOS without restriction to improve products and services.
You represent that content uploaded to the platform does not violate third-party rights.
20. International Compliance
You are responsible for complying with trade controls, sanctions, anti-money-laundering obligations, and local consumer laws applicable to your business.
You must not use the platform where prohibited by applicable export or sanctions rules.
21. Security Incident Response
If we identify a material security incident affecting your data, we will investigate and notify you as required by law and contract.
You agree to cooperate in remediation and follow credential rotation and access-hardening guidance.
22. Beta and Preview Features
Beta features may change, be discontinued, or contain defects, and are provided 'as is' unless otherwise stated.
Beta features are excluded from production guarantees and may have separate usage constraints.
23. Payment Processing Specifics
Payment processing may involve third-party processors, banks, mobile money operators, card networks, and other network partners, each with independent terms, onboarding checks, availability rules, risk controls, and settlement timelines.
eshopOS is not responsible for a provider's refusal, delay, hold, reserve, chargeback decision, payout schedule, currency availability, account limitation, account termination, or payment method change.
You remain responsible for chargebacks, disputes, refunds, fraud controls, prohibited-business compliance, customer notices, and all payment activity associated with your store.
- You must comply with the rules and terms of any provider you connect, including Stripe, Paystack, banks, mobile money providers, and card networks.
- You authorize us to transmit business, transaction, customer, payout, tax, and verification data to payment and financial service providers as needed to provide the service and comply with law.
- You must keep business, tax, bank, settlement, and identity information accurate and current.
- We may suspend payment-related features if required by law, provider rules, risk review, suspected fraud, chargeback activity, sanctions exposure, or platform integrity concerns.
24. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including major infrastructure failures, natural disasters, and government actions.
25. Assignment and Transfer
You may not transfer these terms without prior written consent, except where allowed by mandatory law.
eshopOS may assign these terms in connection with merger, acquisition, or reorganization.
26. Electronic Communications
You consent to receive electronic notices, invoices, legal updates, and operational messages through email and in-product notifications.
27. Severability and Entire Agreement
If any provision is held invalid, the remaining provisions remain in effect.
These terms, together with incorporated policies and applicable order forms, constitute the entire agreement for the covered services.
28. Connected Services and Data Imports
You may authorize eshopOS to connect to third-party commerce platforms, marketplaces, shipping providers, payment providers, and related services.
When you connect an external service, you instruct eshopOS to request the scopes shown in the connection flow and to process the resulting data for store setup, migration, synchronization, reporting, and service delivery.
- You represent that you have authority to connect the external account and import or synchronize its data.
- For Shopify catalog migration, the first public connector release imports product, collection, variant, inventory, location, and media data and does not request Shopify customer data.
- If a connector later supports customer-data import, eshopOS will disclose that data use in the connection flow and require any additional authorization required by the platform or applicable law.
- Disconnecting a service stops future access, but data already imported into your eshopOS store may remain until you delete it or request deletion under applicable retention rules.
